What Is an LLC in Massachusetts?

A limited liability company organized under the Massachusetts Limited Liability Company Act (Mass. Gen. Laws ch. 156C, § 1 et seq.) separates the personal assets of its owners from the financial obligations of the business. Members of the statutory term for LLC owners are shielded from personal liability for the company’s debts under Mass. Gen. Laws ch. 156C, § 22, which provides that “no member or manager of a limited liability company shall be personally liable, directly or indirectly … for any such debt, obligation, or liability of the limited liability company solely by reason of being a member or acting as a manager.”

By default, management authority rests with the members unless the operating agreement appoints one or more managers, as set out in Mass. Gen. Laws ch. 156C, § 24. A single-member LLC is treated as a disregarded entity for federal tax purposes, and a multi-member LLC is treated as a partnership, though either may elect corporate treatment by filing IRS Form 8832. Massachusetts follows the federal classification. The Commonwealth imposes no separate entity-level income tax on pass-through LLCs, but it does charge a $500 annual report fee, making it one of the most expensive states for ongoing LLC maintenance.

Massachusetts LLC Name Search

The LLC’s name must be distinguishable from every other entity name already on file with the Corporations Division of the Secretary of the Commonwealth. Under Mass. Gen. Laws ch. 156C, § 3, the name cannot be “the same as, or deceptively similar to” any existing corporation, limited partnership, or LLC organized or registered in the Commonwealth unless the existing entity provides written consent. Every LLC name must include one of the following designators: “Limited Liability Company,” “Limited Company,” “LLC,” “L.L.C.,” “LC,” or “L.C.”

Words implying the LLC operates as a bank, insurance company, or other regulated financial institution generally require authorization from the appropriate state regulatory agency before the Corporations Division will accept the filing. A preliminary name check is available through the Business Entity Search tool, and a separate Name Reservation Search shows names already reserved but not yet used in a formation filing.

Name Reservation: An organizer who wants to hold a name before filing may submit an Application of Reservation of Name and a $30 fee to the Corporations Division. Under Mass. Gen. Laws ch. 156C, § 4, the reservation lasts 60 days and may be extended for an additional 60 days upon written request. The reservation form must be submitted by mail or in person — it cannot be filed by fax.

Note: Passing the online name search does not guarantee acceptance. The Corporations Division makes the final determination of name availability when the certificate of organization is reviewed.

Choosing an LLC Registered Agent in Massachusetts

Every LLC formed in Massachusetts must designate a resident agent and maintain a registered office within the Commonwealth. Mass. Gen. Laws ch. 156C, § 5 requires the LLC to keep an office in Massachusetts where its records are available and to appoint a resident agent who can accept service of process during normal business hours.

The resident agent receives lawsuits, subpoenas, legal notices, and official government correspondence on the LLC’s behalf. Eligibility requirements are straightforward:

  • Individual agent: Must be a resident of Massachusetts with a physical street address in the Commonwealth.
  • Entity agent: Must be a domestic corporation or a foreign corporation authorized to transact business in Massachusetts.

The registered office address must be a physical street address, not a P.O. Box. Before the certificate of organization is filed, the designated agent must provide written consent. Mass. Gen. Laws ch. 156C, § 12 requires that “the agent’s written consent to the appointment shall be either in the certificate or attached to it.” If the LLC later needs to change its resident agent or the agent’s address, a Statement of Change may be filed for $25 by paper or fax, or at no charge electronically.

LLC Filing Requirements in Massachusetts

An LLC is formed in Massachusetts when the Corporations Division of the Secretary of the Commonwealth accepts its certificate of organization. The formation document is filed using the LLC Certificate of Organization form, governed by Mass. Gen. Laws ch. 156C, § 12. The certificate must include:

  • The LLC’s exact name, with the required designator
  • The street address of the Massachusetts office where records will be maintained
  • The general character of the LLC’s business
  • The name and street address of the resident agent, with the agent’s written consent
  • The latest date of dissolution, if the LLC is not perpetual
  • The name and business address of each manager, if any
  • The name and business address of at least one person authorized to execute documents with the Corporations Division (required when there are no managers)

The filing fee is $500, established by Mass. Gen. Laws ch. 156C, § 12(d). Online and fax filings carry an additional expedited-service fee of approximately $20, bringing the total to roughly $520. The Corporations Division accepts filings through four methods:

  • Online: File through the Corporations Division Online Filing System. A pre-assigned Customer ID Number and PIN are required; new filers must contact the Corporations Division at 617-727-9640 to obtain credentials. Online filings are generally processed the same business day.
  • By Fax: Complete the paper form, generate a Fax Voucher Coversheet with credit card or e-check payment, and fax the filing. Same-day processing is typical.
  • By Mail: Send the completed certificate and a check or money order for $500 payable to the Secretary of the Commonwealth to One Ashburton Place, Room 1717, Boston, MA 02108-1512. Processing takes approximately two to three business days after receipt, plus mail transit time.
  • Walk-In: Deliver the filing in person to the same address. The filing room is open Monday through Friday, 8:45 a.m. to 4:00 p.m.

The LLC’s existence begins when the Corporations Division files the certificate, unless the organizer specifies a later effective date on the form. Massachusetts imposes no publication requirement. The LLC must file its first annual report on or before the anniversary of the certificate’s filing date, for $500.

LLC Operating Agreement in Massachusetts

Massachusetts does not require an LLC to adopt an operating agreement as a condition of formation, but the statute expressly accommodates one and treats it as the primary internal governance instrument. Mass. Gen. Laws ch. 156C, § 21 authorizes the operating agreement to create classes or groups of members, establish voting rights on virtually any basis the members choose, and even permit certain actions without a member vote. The operating agreement is an internal document — it is not filed with the Corporations Division, though the LLC must keep a copy at its Massachusetts office under Mass. Gen. Laws ch. 156C, § 9.

Without an operating agreement, the statute’s default rules control entirely. Management vests in all members rather than designated managers (§ 24). Decisions require the approval of members holding more than 50 percent of unreturned contributions (§ 21(d)). Profits and losses are allocated based on each member’s agreed contribution value as reflected in the LLC’s records, under Mass. Gen. Laws ch. 156C, § 29. These defaults are often poorly suited to multi-member arrangements where capital contributions and active involvement vary significantly among participants.

A single-member LLC should also maintain an operating agreement. Documenting the separation between the member’s personal finances and the LLC’s assets strengthens the liability protection the entity structure is designed to provide.

How to Get an EIN for an LLC in Massachusetts

A federal Employer Identification Number (EIN) is the nine-digit identifier the Internal Revenue Service assigns to business entities for tax reporting. Any LLC that will have employees, file excise or employment tax returns, or withhold taxes on income paid to a nonresident alien must obtain one. A single-member LLC with no employees is not strictly required to have an EIN, but most banks require one to open a business account, and obtaining one is generally advisable.

The fastest method is the IRS EIN Online Application, which issues the number immediately upon completion. The online tool is available Monday through Friday, 7:00 a.m. to 10:00 p.m. Eastern Time. The applicant must have a valid Social Security Number or Individual Taxpayer Identification Number, and the LLC must be located in the United States or U.S. territories. Alternatively, the organizer may complete IRS Form SS-4 and submit it by fax (approximately four business days) or by mail (approximately four to five weeks).

The application requires the name and Taxpayer Identification Number of the LLC’s responsible party, the individual who controls, manages, or directs the LLC, and the disposition of its funds and assets. For a single-member LLC, this is ordinarily the sole member. There is no fee to apply.

Registering for State Taxes in Massachusetts

Massachusetts imposes no entity-level income or franchise tax on LLCs that retain their default federal classification as pass-through entities. Individual members report their share of LLC income on their personal Massachusetts income tax returns and pay the state’s flat income tax rate on that income. If the LLC elects corporate taxation by filing IRS Form 8832, it becomes subject to the Massachusetts corporate excise tax under Mass. Gen. Laws ch. 63, § 39, which includes an 8% income measure and a non-income measure based on either tangible property or net worth, with a minimum excise of $456.

An LLC that sells tangible personal property or taxable services must register for a sales tax permit. The Massachusetts sales tax rate is 6.25%. Registration is completed at no cost through MassTaxConnect, the Department of Revenue’s online portal. Upon approval, the Department mails a Form ST-1 registration certificate, which must be displayed at the place of business.

Registering as an Employer in Massachusetts

An LLC that hires employees in Massachusetts must complete several state-level registrations before or shortly after the first payroll. Each obligation is administered by a different agency, and the registration portals are separate.

  • Unemployment Insurance: Employers who pay wages for work performed in Massachusetts must register with the Department of Unemployment Assistance (DUA). Registration is completed online through the Unemployment Services for Employers portal. The LLC will need its federal EIN, legal entity type, and the Social Security Numbers of all members and officers.
  • State Income Tax Withholding: Every employer must register for withholding through MassTaxConnect and remit withheld taxes on a schedule determined by the LLC’s projected annual withholding liability—ranging from annual filings for liabilities of $100 or less to accelerated deposits for liabilities exceeding $25,000.
  • Workers’ Compensation Insurance: All employers operating in Massachusetts must carry workers’ compensation insurance, regardless of the number of employees or hours worked. The Department of Industrial Accidents enforces this requirement and will issue a stop-work order with minimum fines of $100 per day to any employer found without coverage. LLC members are not required to insure themselves, but must cover all non-member employees.
  • New Hire Reporting: Employers must report all newly hired employees to the Department of Revenue within 14 days of the employee’s first day of work. Reports may be submitted electronically through MassTaxConnect or by fax using Form NHR for employers with fewer than 25 employees.

The LLC must also meet federal employer obligations, including filing IRS Form 941 (quarterly payroll tax return), paying FUTA (Federal Unemployment Tax Act) taxes, and completing Form I-9 (Employment Eligibility Verification) for each new hire.
